How difficult is it to upgrade to 4.0? What does the upgrade entail?

Not hard. https://eventespresso.com/wiki/how-to-upgrade-event-espresso/#migrate-to-event-espresso-4

Generally:
– make a backup of your database (just in case)
– run the migrations as prompted after you upgrade from EE3 to the latest version
– done

No. On our end the only fees are the support license.
